How to register a company in Tajikistan

Registration is free and takes one day, but a foreign director needs the right to work in the country, and the 2026 quota is 5,500 people. We cover the LLC with capital from 500 somoni, filing under a power of attorney, taxes of 18% and 12%, audit, beneficial owner information, banks and the terms for citizens of Russia and Belarus.

Is it worth opening a company in Tajikistan

Zero somoni in state fees and 24 hours by law - that is what registering an LLC in Tajikistan looks like on paper. Article 6 of Law No. 508 "On State Registration of Legal Entities and Individual Entrepreneurs" bans any fee for registration, and since March 2023 Article 10 gives the tax authority one day instead of the former five working days. The minimum charter capital is 500 somoni, about 54 US dollars, and it can be paid in within a year. The somoni (TJS) is the national currency; the National Bank of Tajikistan rate in 2026 is about 9.2 somoni per dollar.

The hard part starts after the certificate. A foreign director must attach a document allowing a stay and work in the country: the law lists a visa, a registration card and a residence permit valid for at least three months. Work permits for foreigners are issued within a quota, and for 2026 it is 5,500 people for the whole country, 3,400 of them set aside for Chinese citizens.

The second cost is taxes and banks. Profit is taxed at 18%, dividends at another 12%, and profit tax advances are due every month, at least 1% of revenue even in a loss-making month. The banking system is small: from 12 November 2025 to 23 April 2026 three of the country's banks were under an EU ban on transactions with European counterparties, and some banks restricted transfers to Russia during those months.

A good fit for those who sell to Tajik buyers, bid in local tenders and construction projects, set up production in a free economic zone or work with a local team and a director who is a Tajik citizen. Not a fit for international settlements, a tax-free structure or a quick relocation: registering a company gives no right to live and work in the country. Which company to open in Tajikistan: LLC, joint-stock company or branch

An LLC covers almost any task a foreign founder has: capital from 500 somoni, one founder, one director. In Tajik the form is called Ҷамъияти дорои масъулияти маҳдуд, abbreviated ҶДММ - this abbreviation will appear in the company name, because the corporate name is registered in the state language. The rules are set by Law No. 53 of 10 May 2002 "On Limited Liability Companies".

LLC capital is denominated in somoni only. No proof of capital is needed at registration: the document confirming that the capital has been formed goes to the tax authority within a year. A company that misses the deadline must reduce its capital to the amount actually paid or close down. The second trap comes later: if net assets fall below 500 somoni at the end of the second or any later year, the law requires liquidation.

Owners of foreign holdings should check the structure in advance. The law forbids an LLC to have as its sole member another business company that itself consists of one person. If the Tajik company is founded by a foreign firm with a single owner, a second member is needed - even with a minimal share.

The director is an individual and does not have to be a member of the company. A charter is required but is not filed with the tax authority: the founder's resolution is enough. The law has no company secretary, and a resident director is not formally required either.

Can you open a company in Tajikistan without travelling

The founder does not have to come to Dushanbe: Article 10 of Law No. 508 allows documents to be filed by a representative under a power of attorney. A foreign director and the bank signatories are the ones who need to travel.

Documents of foreign founders are accepted only with a translation into Tajik, and the translation is certified by a notary. This covers the founding resolution, passport copies, the power of attorney and the extract from a foreign register. The extract of a foreign founding company is also legalised or apostilled - stamped to confirm it is authentic for use abroad. The Hague Apostille Convention has been in force for Tajikistan since 31 October 2015.

Founders from Russia, Belarus and Kazakhstan do not need an apostille. The law exempts documents from states that have treaties with Tajikistan, and its Ministry of Foreign Affairs names the 1993 Minsk and 2002 Chisinau conventions on legal assistance between countries of the Commonwealth of Independent States (CIS). A notarised translation is enough.

Law No. 2179 of 14 May 2025 introduced electronic registration: documents are filed electronically and the certificate is issued in electronic form. For a foreign founder the paper route through a representative remains the main one so far.

A fully remote setup looks like this: the founder issues a power of attorney, a Tajik citizen is appointed director, and that person also opens the account. The price of convenience is control: the director signs contracts and manages the company's money. Limit the director's powers in the charter and set a second signature at the bank.

How much does company registration in Tajikistan cost and how long does it take

The state charges nothing for registration: the fee is 0 somoni, and an extract from the Unified State Register is free too. Companies are registered not by the Ministry of Justice but by the Tax Committee under the Government of Tajikistan (Кумитаи андоз) through district tax offices. It works as a "single window": documents go to one place, and the registrar does not review them legally.

The one-day term protects the applicant. If the tax authority has neither registered the company nor refused within 24 hours, it must enter it in the register at once and issue the certificate. Asking for documents beyond the list in Article 11 is forbidden: the list is exhaustive.

One day is the registrar's term, not the term of the whole project. The longest parts are collecting and translating foreign documents, arranging the status of a foreign director and the bank's checks.

There is no annual renewal of registration and no renewal fee: a company is created for an unlimited term. Changes - a new director, address or members - are entered within 24 hours but must be reported within ten working days of the decision.

But mistakes cost more than the fees: a foreign director without a visa, registration card or residence permit, a place in the foreign worker quota that has run out, a power of attorney without legalisation and translation, and capital of $55, not paid in within a year. What taxes does a company pay in Tajikistan

18% on profit and another 12% on dividends - in total the owner gives up almost 28 somoni out of every 100 somoni of profit. That is more expensive than in Kyrgyzstan with its 10% and Uzbekistan with 15%, and comparable to Kazakhstan, where profit tax is 20%. VAT (value added tax), on the other hand, is going down in Tajikistan: 14% until 31 December 2026 and 13% from 1 January 2027.

Example calculation. A company on the general regime earned 1,000,000 somoni of profit. Profit tax is 180,000 somoni. From the remaining 820,000 somoni, 12% is withheld when dividends are paid, that is 98,400 somoni. The owner receives 721,600 somoni, about 78 thousand US dollars. For a founder who is a Russian tax resident with a share of 25% or more, 5% is withheld, or 41,000 somoni, leaving 779,000 somoni. The minimum advance is the most unpleasant rule for a new business: the company pays at least 1% of revenue every month even when it operates at a loss, and the overpayment is later offset or refunded.

Manufacturers should look at free economic zones. The Ministry of Foreign Affairs of Tajikistan names four operating zones: Sughd, Dangara, Panj and Ishkashim. Activity inside a zone is exempt from the taxes of the Tax Code, except social tax and tax agent duties.

Reporting, audit and beneficial owner information

A small LLC does not need a mandatory audit in Tajikistan, but the tax calendar is dense: almost everything is filed and paid by the 15th of each month.

Audit. The Law "On Auditing Activity" requires an annual audit from public interest entities - banks, insurance organisations, companies whose securities are traded on an exchange, large companies with indicators above set limits - and from those obliged to be audited by separate regulations. A small trading or service LLC is outside this group.

Beneficial owners. Tajikistan has no separate register of beneficial owners: since 2019 information on ultimate owners has been entered in the same Unified State Register. A beneficial owner is an individual who directly or through a chain of companies owns a legal entity or actually controls it. A copy of the document on the beneficial owner is filed at registration, and the company must keep passing all available information on its owners to the registrar afterwards.

If the founder is registered in an offshore zone, the applicant must disclose the main owners of that structure to the registrar. The law calls the register data open and publicly available, except for data from the identity documents of the director and founders and their home addresses.

Can a foreigner be a director and founder of a company in Tajikistan

A foreigner can own 100% of a Tajik company: Law No. 2173 of 14 May 2025 "On Investments and Promotion of Investment Activity" gives a foreign investor the same conditions as a local one and bans discrimination by citizenship. The exception is activities that the government has restricted or closed to investment by a separate list.

The same law promises investment projects a stable regime: if new rules increase the tax burden or limit a foreigner's share in capital, the legislation in force on the date of the investment applies to the investor for 15 years.

Land is a different story. Article 13 of the constitution calls land the exclusive property of the state, so a company, local or foreign, receives a plot only for use.

A foreigner can become a director, but on two conditions. The first is a document on the right to stay and work in the country valid for at least three months: a copy is attached to the registration application. The second is a work permit. A company that hires foreigners obtains a licence to attract foreign labour, and the employee obtains a work permit.

Permits are issued within a quota approved by presidential decree. For 2026 it is 5,500 people, 500 fewer than a year earlier. Foreigners employed in priority projects under interstate and intergovernmental acts are not counted in the quota.

Citizens of Russia and Belarus enter without a visa, but the right to work is arranged separately: Tajikistan is not a member of the Eurasian Economic Union, and the union's rule on working without permits does not apply here. The Embassy of Belarus in Dushanbe adds a registration rule: those arriving for more than 10 working days must register no later than the third working day.

How to open a company bank account in Tajikistan

Three Tajik banks - Dushanbe City Bank, Spitamen Bank and Commercebank of Tajikistan - spent more than five months on the EU sanctions list. The ban on transactions with them came with the 19th sanctions package, applied from 12 November 2025 and was lifted on 23 April 2026. The takeaway: choose a bank by who it routes foreign payments through, not by its fees, and keep accounts in at least two banks.

The account of a local company is opened under Instruction No. 171 of the National Bank of Tajikistan. The list of documents is short:

  • an application to open the account;
  • copies of the state registration certificate, the extract from the Unified State Register and the notice of assignment of the taxpayer number (INN);
  • a card with specimen signatures and a seal impression in two copies;
  • identity documents of those who hold the first and second signature rights.

A card with a seal impression means the company needs a seal before going to the bank. The bank does not process transactions without the INN in payment documents, and it reports the opening of the account to the tax authority itself within five days.

The formal list is only the beginning. The bank's questionnaire asks who owns more than 25% of the company and, for foreigners, why the account is needed and what type of visa they hold. The bank then examines the owners, the type of activity, counterparties and the origin of the money. Whether to open the account is the bank's decision.

For payments inside the country a Tajik account is enough. International payments are the weak point: the correspondent network is narrow, transfers in dollars and euros go through intermediary banks and can get stuck in checks after the local bank has already accepted them. In autumn 2025, after the EU decision, some banks also restricted transfers to Russia.

Tajik rules do not prohibit citizens of Russia and Belarus from opening a company and an account. There will be plenty of questions, though: the bank asks to confirm the origin of funds, show contracts and explain why the business needs Tajikistan.
