Company registration in Uzbekistan

What a foreign founder and director need, what registration costs in 2026 and which taxes the company pays.

Uzbekistan is one of the fastest countries in the region for registering a business. A foreign-owned company, most often a limited liability company, is registered through the public services portal or at a Public Services Centre, with a decision within one working day. The state fee for an LLC is one base calculation amount: from 1 September 2026 that is 440,000 sum, about US$38 at the Central Bank rate of 11,778 sum per dollar. The company immediately receives a taxpayer identification number and is registered for tax.

For a foreigner Uzbekistan is interesting as a market of more than 37 million people, a production base with access to Central Asia and a place for a development team with tax incentives. Since September 2017 the sum has been freely convertible for current transactions, so import payments and dividend repatriation through a bank need no special permits.

What a foreign founder and director need

  • Personal identification number - obtained by the foreign director and any individual founder; without it the application is not accepted.
  • Electronic digital signature - used to sign the application on the portal and later the tax returns.
  • Legal address - an office lease in Uzbekistan.
  • Corporate founder documents - register extract and charter. Uzbekistan is party to the Hague Convention, so documents from most countries need an apostille, while documents from Russia and other CIS countries are accepted without one under the Minsk Convention. Everything is translated into Uzbek or Russian.

Company taxes in 2026

  • Profit tax - 15%.
  • VAT - 12%. Since 1 June 2026 a small business must switch to VAT and profit tax only when turnover exceeds 5 billion sum a year, about US$424,600.
  • Turnover tax for small businesses - 4%.
  • Corporate property tax - 1.5%.
  • Personal income tax on salaries - 12%, withheld by the company.
  • IT Park residents are exempt from profit tax, VAT and several other taxes when working in permitted fields.

Timeline step by step

Registration takes one working day, but errors in founders' documents set you back weeks

The law does not stop you from registering a company in Uzbekistan on your own. But mistakes cost more than the fee: a foreign founder's documents without legalisation and translation, a foreign director without a work permit, a registered address without a contract, missed tax registration and choice of tax regime.
