Company registration in Anguilla

A company in a British Caribbean territory with no direct taxes. We register through the electronic registry, provide the agent and address, and help with the account.

Anguilla is a British Overseas Territory in the Caribbean and one of the classic jurisdictions for international companies. Companies are formed under the Business Companies Act 2022 and registered by the electronic commercial registry, through which all documents are filed online. Anguilla has no direct taxes: no income, profit or capital gains tax, for residents or companies. Below: what opening a company costs, its ongoing duties and why banks are cautious with offshore structures.

What opening an offshore company in Anguilla costs

  • State fee for a company with share capital: $350.
  • Annual fees and the annual return are due by the end of the quarter in which the incorporation anniversary falls.
  • Our work: basic registration including first-year state fees $2,250, base package $4,500, package with nominee service $7,300, package with bank pre-approval $8,500, annual maintenance $3,800. All items are in the table below.

The registry fee is $350, but a missed annual return costs the company its standing

The law does not forbid registering a company in Anguilla on your own, but filings go to the registry only through a registered agent. Mistakes cost more than the fees: an annual return and fees filed after the quarter of the incorporation anniversary, ownership details that do not match the bank's documents, an account refused because of an incomplete business description. We register the company through the electronic registry, provide the agent and address, handle the annual fees and prepare the bank pack.

The cost of support depends on the package and the bank; a manager will calculate it in the chat.

Company duties

  • a registered agent and office in Anguilla;
  • a register of members and beneficial owner information held by the registered agent;
  • annual fees and the annual return on time;
  • economic substance rules for certain activities.

No taxes in Anguilla do not remove taxes where the owner lives: controlled foreign company rules can make profits taxable there, so we model taxes before registration.

Documents

  • passports and proof of address of directors and members;
  • beneficial owner details and source of funds;
  • a bank or professional reference letter;
  • a description of the planned activity.

The registered agent must check the client before filing with the registry, so a complete file speeds up registration.

How registration works

  1. Goal. We establish why you need the company and where the business will be run.
  2. Owner checks. The registered agent checks the founders and source of funds.
  3. Documents. We prepare the articles and director and member details.
  4. Registration. We file through the electronic registry and pay the fee.
  5. Account. We choose a bank, often outside Anguilla, and support the account opening.

Where difficulties arise

  • The bank will not open an account for an offshore company without clear activity and a verified source of funds.
  • Taxes in the owner's country were not worked out in advance.
  • Annual fees are missed, and the company loses good standing in the registry.
