Individual entrepreneur in Armenia 2026: register and taxes

AMD 3,000 and one day to register, but only 20 days to pick the tax regime that decides everything. A typical service IE pays 10% of turnover, double the pre-2025 rate, the zero-tax regime is closed to IT, design and marketing, and from 1 November 2026 an IE supports residence only with AMD 1 million on its accounts or in turnover. Registering as an individual entrepreneur (IE), Armenia's version of a sole proprietorship, takes one day and a state fee of about $10. Choosing the tax regime takes longer, and it is worth doing before the first client payment lands: the law gives 20 days to file the election with the tax authority. Miss that window and the IE defaults to the general regime, with 20% VAT and 23% profit tax.

The Armenia of 2022, where an IE was set up between two cups of coffee and paid 5% of turnover, now lives mostly in relocation chat groups. In 2026 a typical service IE pays 10% of turnover, double the pre-2025 rate, the zero-tax regime is closed to freelancers in IT, design and marketing, and from 1 November 2026 an IE supports a residence permit only if its accounts hold AMD 1 million or it turned over that much in the previous 60 days. Below is how the route works in 2026, in person or remotely, what it costs and where people lose money.

Can a Russian citizen open an IE in Armenia

Yes, and neither a residence permit nor a local address registration is required. Armenia's 2001 Law on Individual Entrepreneurs allows foreigners with full legal capacity to register, and the State Register of Legal Entities Agency of the Ministry of Justice states plainly that anyone, foreign citizens included, can register a business in person. The same rules apply to citizens of Belarus, Kazakhstan and other countries.

Registering an IE and getting the right to live in Armenia are two separate tasks. Registration gives a tax number and the ability to invoice clients. Residence status is granted by a different body, the Migration and Citizenship Service of the Ministry of Internal Affairs, under its own rules, which become noticeably stricter in November 2026. How to register an IE in Armenia: routes, timing and state fees

There are three routes, and only one is genuinely quick for a Russian citizen. Online registration on the Ministry of Justice portal is free and takes minutes, but it requires an Armenian ID card and an electronic signature, which nobody without status in the country has.

The public services number (PSN, ՀԾՀ in Armenian, colloquially the social card) is issued free of charge and on the spot by any unit of the Migration and Citizenship Service. A foreigner without residence needs only a passport with a notarised Armenian translation. Without this 10-digit number neither the registrar, nor the bank, nor the tax office will move.

How to register as an individual entrepreneur in Armenia: step by step

The registration itself takes less time than the rush-hour drive from Zvartnots airport to central Yerevan. The real time goes into preparation: the passport translation, the public services number and the choice of activity code, which drives the tax regime.

  1. Entry to Armenia. Russian citizens do not need a visa. If a representative handles registration, this step can be skipped.
  2. Notarised Armenian translation of the passport. It is needed for the social card and the registry, and the bank may ask for it too, so it makes sense to order several certified copies at once.
  3. Public services number. The certificate is issued by any unit of the Migration and Citizenship Service, free of charge and the same day. The legal basis is the Law on the Public Services Number.
  4. Activity code. It is chosen under Armenia's classifier of economic activities. The code decides whether the micro regime is available, which turnover tax rate applies and whether simplified regimes are closed altogether. A mistake here costs more than any state fee.
  5. Filing with the State Register Agency. Passport, translation, public services number and a receipt for the state fee (about $10), payable through the e-payments system or by bank transfer. The IE is registered the same day and gets a tax identification number (ՀՎՀՀ) automatically, with no separate visit to the State Revenue Committee (SRC, Armenia's tax authority).
  6. Tax regime election within 20 days. Under Articles 254 and 267 of the Armenian Tax Code, the election for turnover tax or micro-enterprise status must be filed no later than the 20th day after registration. After that the regime can only be changed from the next year, by 20 February.
  7. Bank account. Client payments go there, and from November 2026 the AMD 1 million threshold for residence is measured on the IE's accounts.
  8. Access to the taxpayer's online account. Returns are filed and charges checked there. The first turnover tax return is due by the 20th of the month after the quarter.

Can I register an IE in Armenia remotely

Yes, through a representative under a power of attorney, and this is the most common route for those still in Russia or a third country. Online registration on the Ministry of Justice portal is closed without an Armenian ID card, so remote means done by a trusted person in Yerevan.

The power of attorney is signed before a Russian notary. No apostille is needed: Russia and Armenia are both parties to the 1993 Minsk Convention on legal assistance, so documents certified by a notary in one country are accepted in the other without legalisation. In Armenia the text is translated into Armenian and the translation is notarised. The representative then obtains the public services number, files the documents and collects the registration extract.

Remote ends where the bank and the residence permit begin. Under Central Bank of Armenia rules a bank checks the account holder's citizenship, address and tax residence, so it is wise to plan an in-person visit for the account. And from 1 November 2026 an IE files the residence application personally through the unified electronic platform. Hence a practical sequence: register the IE in advance by power of attorney and spend the trip on the bank and the status.

What taxes does an IE in Armenia pay in 2026

10% of turnover is what a typical service IE pays in 2026, double the pre-2025 level. The rates were raised by Law HO-285-N of 12 June 2024: the government said openly that it wanted to narrow the gap between the simplified and general regimes and push businesses to document their costs. There are three regimes to choose from.

Under Article 253 of the Tax Code, turnover tax replaces VAT for an IE, while profit tax is paid separately as a flat AMD 5,000 a month. That amount accrues even in months with no revenue, unless a notice suspending activity has been filed with the tax authority.

The turnover tax rate depends on what the IE does. For four types of activity the tax can be reduced by a share of documented expenses, but not below a floor. Equipment purchases, business travel and entertainment do not count towards the deduction.

Worked example. A designer on turnover tax invoices foreign clients AMD 12 million (about $34,000) in a year and documents AMD 1.5 million of expenses. Turnover tax: AMD 1,200,000 minus a deduction of 6% of expenses (90,000), so AMD 1,110,000. The 4.5% floor (AMD 540,000) is not breached. Add AMD 60,000 of profit tax for the year. Total: AMD 1,170,000, about $3,300, or 9.75% of turnover.

Mandatory contributions come on top. An IE born in 1974 or later, foreigners included, pays a funded pension contribution: 5% of income if annual income is up to AMD 6 million (about $17,000), and 10% of income minus AMD 300,000 above that. Since 1 January 2026 the law on universal health insurance applies: IEs with annual income above AMD 2.4 million (about $6,700) fall into the group paying AMD 129,600 a year (about $360). Micro-enterprise or turnover tax: which regime for an IE in Armenia

Zero tax sounds like a dream, and most relocated professionals do not fit into it. Article 267 of the Tax Code closes the micro regime to trade and to a long list of services: consulting, legal and accounting work, research and development, data processing, design, marketing, advertising, translation, engineering, medicine and brokerage, including real estate brokerage, plus several other professions. In other words, almost everyone who moved with a laptop.

If the activity code is not on the list, the micro regime works up to AMD 24 million of turnover a year. But it has a side effect rarely mentioned: no tax is assessed at all. From 1 November 2026 that is a direct risk for the residence permit, see the residence section below.

The 1% rate for IT survives, but not for every programmer. It applies only to activities on the government's high-technology list, and the provision runs until 31 December 2031. If the IE's code is not on that list, development is taxed at the standard services rate of 10%. Check the list before registering, not after the first quarter.

For legal and accounting services, management consulting and staffing, simplified regimes disappeared on 1 July 2025 under Law HO-72-N of 26 March 2025. What reports does an IE in Armenia file

Reporting in Armenia is electronic and regular: the taxpayer's calendar runs on quarters, not on mood. The main deadlines:

  • Turnover tax: quarterly return and payment by the 20th of the month after the quarter, so by 20 April, 20 July, 20 October and 20 January.
  • Micro-enterprise: annual turnover report by 1 February of the following year and a monthly income tax return by the 20th.
  • Regime election for the next year: by 20 February.
  • Suspension of activity: if the IE is dormant, a suspension notice removes the fixed AMD 5,000 monthly profit tax for full months of inactivity.

A separate 2025-2026 novelty is universal income declaration. Law HO-324-N of 24 October 2025 requires the tax authority to pre-fill the annual return, and the return for 2025 can be checked and amended until 1 November 2026. But the obligation under Article 156 of the Tax Code applies to Armenian tax residents who are Armenian citizens on 31 December. A Russian citizen without an Armenian passport is not covered, although the IE's own reporting duties remain.

IE bank account and card in Armenia: what changed for Russians

An IE account can be opened at an Armenian bank, but in 2026 the bank looks at more than the passport. Since 12 August 2026 minimum internal control standards approved by the Central Bank of Armenia require banks to identify, suspend or reject transactions that look like circumvention of sanctions on Russia before they are processed, and to check an individual client's citizenship, residential address and tax residence. When sanctions lists or the client's details change, the bank must review the client within one business day.

In practice this means three things. First, a visible link to Armenia, such as the IE registration, a lease and a local phone number, makes the conversation with the bank much easier. Second, every large incoming payment should be backed by a contract and an invoice. Third, if the client or its bank carries sanctions risk, the payment can be stopped even when the IE itself is on no list.

Since 2025 Armenia has taken part in the automatic exchange of financial account information under the CRS (Common Reporting Standard, the OECD standard under which banks report foreigners' accounts to the tax authority, which passes the data to the country of residence). The exchange does not remove the account holder's own duty: a Russian currency resident must notify the Federal Tax Service of a foreign account within one month under Article 12 of Federal Law No. 173-FZ. IE in Armenia and residence: what changes on 1 November 2026

AMD 1 million, about $2,800, is the new entry ticket to an Armenian residence permit for an IE. Amendments to the Law on Foreigners (Law HO-11-N, signed on 12 February 2026) take effect on 1 November 2026. Under the new Article 29.4, an IE qualifies if its accounts hold at least AMD 1 million in any currency, converted, or if its business turnover in the 60 days before applying reached at least AMD 1 million. The 180-day rule changes the logic of regime choice. On the micro regime no tax is assessed at all, so an IE set up just for the card risks losing status after six months. On turnover tax there is always an assessment: at least AMD 5,000 of profit tax a month. The residence fee increase comes from a separate law, HO-12-N, and the new rate of about $420 applies from 1 January 2027.

Tax residence: where an Armenian IE actually pays tax

An Armenian IE does not make its owner an Armenian tax resident; days do. Under Article 25 of the Tax Code, a resident is someone who spends 183 days or more in Armenia in a calendar year, with arrival and departure days counted as full days. A centre of vital interests in Armenia, meaning a home, family or main place of work, also creates residence.

Russia counts differently: a Russian tax resident is someone who spends 183 days in Russia within 12 consecutive months. While that status lasts, the Armenian IE's income is subject to Russian personal income tax on a progressive scale from 13% to 22%. The 1996 Russia-Armenia double tax treaty is in force, and tax paid in Armenia can be credited.

There is a catch in the credit. For an IE, turnover tax legally replaces VAT, and only the flat AMD 5,000 a month counts as profit tax. So there is a risk that the Russian tax authority credits only those AMD 60,000 a year rather than the full 10% of turnover, and part of the tax is effectively paid twice. What changed for IEs in Armenia in 2025-2026

In two years Armenia rewrote the rules for small business more deeply than in the previous five. Back in 2024 the government stated its aim plainly: narrow the gap in tax burden between turnover tax and the general regime. The timeline:

  • 1 January 2025. Law HO-285-N roughly doubled turnover tax rates: 10% for trade and other services, 7% for manufacturing, 12% for catering. A deduction for documented expenses arrived at the same time, and the 1% rate for activities on the government's high-technology list was kept until 31 December 2031.
  • 1 July 2025. Legal and accounting services, management consulting and staffing were excluded from turnover tax (Law HO-72-N).
  • 24 October 2025. Law HO-324-N was signed: the tax authority pre-fills the annual return of Armenian citizens, and the 2025 return can be amended until 1 November 2026.
  • 1 January 2026. The universal health insurance law started, with a contribution for IEs earning more than AMD 2.4 million a year.
  • 12 August 2026. New Central Bank standards obliged banks to screen clients for circumvention of sanctions on Russia before a payment goes through.
  • 1 November 2026. New residence conditions for IEs: AMD 1 million on accounts or 60 days of turnover, the 180-day rule, quotas.
  • 1 January 2027. The temporary residence fee rises to about $420 (Law HO-12-N).

In 2026 Prime Minister Nikol Pashinyan also spoke of plans to raise the micro-enterprise threshold above AMD 24 million, saying inflation had made it outdated. The Tax Code contains no such amendment yet, so business plans should rely on the current AMD 24 million.

Risks and pitfalls of an IE in Armenia

The registry forgives almost everything; the tax authority forgives almost nothing. The most expensive mistakes:

  • Missing the 20 days. Without an election for turnover tax or the micro regime, the IE stays in the general regime with 20% VAT and 23% profit tax until the end of the year.
  • The wrong activity code. A code from the exclusion list closes simplified regimes even if the IE actually does something else.
  • Micro regime and residence. No taxes assessed within 180 days of the permit being granted means no permit.
  • Tax for empty months. The fixed AMD 5,000 of profit tax accrues until a suspension notice is filed.
  • The AMD 115 million threshold. Once turnover exceeds it, the IE moves to the general regime and pays VAT on the amount above the threshold.
  • Double taxation. A Russian tax resident pays personal income tax at home and may not be able to credit all of the Armenian turnover tax.
  • Banks and sanctions screening. A client payment with a risky chain can be stopped by the bank before it is credited.
  • Crypto. Crypto-asset service providers can use neither turnover tax nor the micro regime. How crypto is taxed when relocating is covered in crypto and taxes when relocating.
