Company registration in Serbia
A Serbian LLC can be opened with RSD 100 of capital and filed online if you have a qualified electronic signature. We cover the fees, steps, documents and the link between a company and residence.
Companies in Serbia are registered by the Serbian Business Registers Agency. The most common form is the limited liability company with one or more members. Its registered capital is at least RSD 100, in cash or in kind, unless a separate law requires more, under the Agency's instructions.
Costs: government fee
The fee for registering a company with documents filed on paper is RSD 6,500, about $65; filed electronically it is RSD 5,900, about $60 at the rate of 5 October 2026, rounded up ($1 ≈ RSD 104.6). Since 2018 the Agency has registered single- and multi-member LLCs electronically: this needs a qualified electronic signature, a card reader and a payment card for the fee, according to the Serbian Business Registers Agency. A fee of about $60 online, but you cannot file without a qualified e-signature
The law does not stop you registering a company on your own. But mistakes cost more than the fees: online filing without a qualified e-signature and card reader, a foreign founder's documents without apostille and Serbian translation, the expectation that a company by itself gives residence, and a missed switch to e-invoicing. How registration works
- Defining the task: activity, members, whether a resident director and a residence permit are needed.
- The memorandum or the sole member's decision, the name and address.
- Filing with the Business Registers Agency on paper or online and paying the fee.
- Receiving the registration and tax numbers.
- Opening a bank account and paying in the capital.
What documents you need
Passports of the members and director, the memorandum or founding decision, the registration application and proof of the company address; for a corporate member, its registry extract translated and apostilled. For the bank you also prepare a business description and source of funds documents.
Company and residence

Company taxes
A Serbian company pays 15% corporate income tax on its worldwide income, with no progressive scale or local surcharges. VAT registration is mandatory once turnover in any 12 consecutive months exceeds 8 million dinars, about $76,500 at the 5 October 2026 rate, rounded up; below the threshold voluntary registration is possible. The standard VAT rate is 20%, the reduced rate 10%.
Dividends, interest and royalties paid to non-residents are subject to 20% withholding tax, but double tax treaties often reduce it to 5-15%. So we take the owner's country of tax residence into account at the registration stage.
E-invoices and reporting
Serbia has moved invoices between companies to electronic form: VAT payers issue and receive them through the state e-invoicing system. Annual financial statements are filed with the Business Registers Agency and the corporate income tax return with the tax authority. For a foreign owner this means an accountant in Serbia is needed from day one, even before there is any turnover: missed reporting leads to fines and a blocked account.

Who gets refused
