Company formation in Slovakia

How to set up a Slovak s.r.o.: capital, trade licence, commercial register entry, 2026 taxes and the financial transaction tax.

For business in Slovakia the usual choice is a limited liability company (s.r.o.): shareholders are liable only up to their contributions, and the company gets access to the EU market, SEPA payments and European banks. A foreigner may own 100% of the company and act as its managing director. The company is entered in the commercial register, and a trade licence (živnosť) covers the specific activity.

How registration works

  1. Name and address. We check the name and arrange a registered address in Slovakia.
  2. Founding deed. Founders' signatures are notarised; foreign documents are apostilled and translated into Slovak.
  3. Trade licence. Quick for free trades; crafts and regulated trades require proof of qualification.
  4. Commercial register entry. The fee for a first entry is EUR 220, about $250; since 17 August 2026 the entry is made by a notary.
  5. Taxes. Registration with the tax authority, VAT registration if needed, beneficial owner disclosure.

The financial transaction tax applies to companies and entrepreneurs and is withheld by the bank automatically, so it belongs in the cost plan from the first month.

Obligations after registration

  • Beneficial owner details in the commercial register, updated with every change of owners.
  • Corporate tax return by the end of the third month after the tax year, by default 31 March.
  • Annual financial statements filed in the public register of financial statements.
  • VAT registration once turnover exceeds the threshold.
  • The company's electronic mailbox on the state portal, through which the tax authority and courts send letters.

Why registration gets delayed

  • Foreign documents without an apostille or with an inaccurate translation.
  • The activity needs a craft or regulated licence and there is no proof of qualification.
  • Incomplete beneficial owner details.
  • The bank holds the account until it understands the link to Slovakia and the source of capital.

Capital from $5,700, and a tax on every company payment from the first month

The law does not stop you registering a company on your own. But mistakes cost more than the fees: capital below $5,700 or a member's contribution below $850, a trade licence for the wrong activity, an error in the commercial register entry and a forgotten financial transactions tax that the bank deducts from every payment. We prepare the founding documents and trade licence, register the company, set up tax registration and build the taxes into the budget.

What is the minimum capital for a Slovak company?
EUR 5,000, about $5,700, with at least EUR 750, about $850, per shareholder. The contribution is confirmed by the contribution administrator's declaration.
Can a foreigner be the sole owner and director?
A foreigner of any nationality can own 100% of the company. A director from outside the EU and OECD is entered in the commercial register only with a Slovak residence permit.
