Business accounts: Romania

A Romanian company's account is opened at a bank in Romania, and for the bank this is an ordinary EU client: euro payments across Europe and lei settlements at home. The bank will open an account for a company registered in the Romanian trade register; a Romanian bank usually turns down a foreign company with no activity in the country. A foreigner can own 100% of a Romanian limited liability company.

What documents the bank asks for

  • The trade register certificate and an extract listing shareholders and administrators.
  • The articles of association and a resolution to open the account.
  • Passports and proof of address of administrators, shareholders and beneficial owners.
  • A description of the business: clients, suppliers, payment countries, expected turnover.
  • Proof of source of funds, especially for the initial capital.

Documents issued abroad are apostilled and translated into Romanian. The bank usually meets the administrator in person.

Taxes the bank will match against the business

  • Microenterprise regime. A tax on revenue instead of profit tax. In 2025 the rate is 1% or 3% depending on revenue and activity; from 1 January 2026 the regime is only available with revenue up to EUR 100,000 instead of 250,000, according to guidance from the Romanian tax authority.
  • Profit tax: 16% for companies outside the microenterprise regime.
  • Dividends: 16% on payouts from 1 January 2026 under Law 141/2025, published by the tax authority.
  • VAT: 21% from 1 August 2025.

Deposit protection

Deposits of companies and individuals at Romanian banks are guaranteed up to EUR 100,000 per depositor at each bank, the single EU level under the EU directive on deposit guarantee schemes.

Bank or payment institution

For an online business, a Romanian company sometimes finds it easier to start with an account at an EU-licensed payment institution: it opens faster, and payments in euro and other currencies work the same way. The downside is that money in such an account is not covered by the deposit guarantee scheme: it is protected by client funds safeguarding rules, not the EUR 100,000 guarantee. How opening works

  1. Company registration. If there is no company yet, we register it in the trade register.
  2. Choosing a bank. We match a bank to the activity, currencies and payment countries.
  3. Compliance file. Documents, a business description and proof of source of funds.
  4. Meeting the bank. The administrator attends in person or completes video identification if the bank allows it.
  5. The bank's decision. Timing depends on the bank and the ownership structure.

Why banks refuse

  • The company has no activity in Romania and cannot explain why it needs a Romanian account.
  • A nominee administrator or a complex ownership chain without disclosed beneficial owners.
  • Shareholders from countries under EU sanctions, or payments to such countries.
  • The origin of the initial capital is not proven.
