Company registration in Romania in 2026
A limited liability company (SRL) with capital from RON 500, 1% turnover tax for small companies, access to the EU market. We handle documents and registration turnkey.
Romania is an EU member with one of the lowest taxes for small businesses in the union: a company with revenue up to €100,000 a year pays 1% of turnover instead of profit tax. Foreigners set up companies here for the EU market, IT and services, trade and as the basis for residence.
Companies are registered by the National Trade Register Office (ONRC), and taxes are administered by the National Agency for Fiscal Administration (ANAF). New minimum capital rules apply from 18 December 2025. Dollar amounts below use the European Central Bank rate of 5 October 2026, about RON 4.76 per dollar, rounded up.
Which company to set up in Romania
- Limited liability company (SRL) - the main form for small and medium businesses. Capital for a new company starts at RON 500, about $105. Once net turnover exceeds RON 400,000, about $84,000, capital must be raised to RON 5,000, about $1,100. Shareholders and the director can be foreigners, and the director does not have to live in Romania.
- Joint stock company (SA) - for larger projects and raising investors, with higher capital and mandatory audit in some cases.
- Branch of a foreign company - registration of an existing company to operate in Romania.
The company needs a registered office in Romania: a lease or a free-use agreement for premises. Without it the register will not accept the filing.

Under the new rules at least 30% of the cash capital is paid within three months after registration and before trading on the company's behalf.

Capital from $105, but the 1% turnover tax applies only if the conditions are met
The law does not stop you registering a company on your own. But mistakes cost more than the fees: a foreigner's documents without sworn translation and apostille, capital below $1,100 when turnover is above the threshold, a 1% turnover tax regime whose conditions the company does not meet, and online filing without an e-signature. What taxes a company pays in Romania in 2026
- Micro-company tax - 1% of turnover if last year's revenue did not exceed €100,000, about $112,100, and the company meets the regime conditions. The 3% rate was abolished from 2026.
- Profit tax - 16%. A company moves to it from the quarter in which revenue exceeds €100,000.
- Dividends - 16% from 2026.
- VAT - 21% from 1 August 2025, reduced rate 11%. Registration is mandatory above RON 395,000, about $83,000, of annual turnover.
- Salaries - the employee pays 25% pension contribution, 10% health contribution and 10% income tax; the employer pays a 2.25% work insurance contribution.
All business-to-business invoices go through the state e-invoicing system and reporting is electronic. An accountant is needed from the first month, and we connect one immediately.
Why registration gets delayed
- There is no suitable office agreement or the owner of the premises did not consent.
- A foreigner's documents lack an apostille or were not translated by a sworn translator.
- The name resembles an existing one.
- Activity codes are wrong, and some of them require permits.
- The bank asks for proof of the source of capital and a personal visit by the director.
