A Georgian company and its taxes
A limited liability company is registered at the Public Service Hall, usually in one working day. The company pays 15% profit tax not on earned but on distributed profit: while money stays in the business, there is no tax. Paying dividends triggers another 5%. The company registers for 18% VAT once turnover exceeds GEL 100,000 in 12 months. For a small business a sole trader with small business status is sometimes better: 1% of turnover up to GEL 500,000 a year.
| Form | Tax |
|---|---|
| Limited liability company | 0% while profit stays in the company; 15% on distribution and 5% on dividends |
| Sole trader with small business status | 1% of turnover up to GEL 500,000 a year |
| VAT | 18%, registration above GEL 100,000 of turnover |

Multi-currency account and bank requirements
The largest banks, TBC Bank and Bank of Georgia, work with foreigners, and a company account usually carries several currencies: lari, dollars, euros and others. Banks are supervised by the National Bank of Georgia, and anti-money laundering rules require the bank to establish who owns the company, what it does and where the money comes from. Georgian banks rely on correspondent banks in the US and Europe, follow international sanctions and stop payments that look like evasion. A bank can refuse without giving reasons, so we file a full pack the first time, with English translations.
The director's right to work
Since 1 March 2026 a foreigner without permanent residence needs a separate right to work if they work in Georgia. The exception is work for foreign clients on their business outside Georgia. We take this into account if the company's director is a foreigner living in the country.
