Company registration in Lithuania

Lithuania is an EU country where companies are registered by the state Centre of Registers, and most applications are filed online. For businesses from outside the EU it offers a low capital threshold, clear taxes and access to the single market. Below: which entity to choose, what registration costs with state fees and our work, which taxes apply in 2026 and why banks turn new companies down.
Who a Lithuanian company suits
A Lithuanian company is chosen for trade and services in the European Union, for developing software and selling it to EU clients, for holding shares in other companies and for fintech projects that need a licence from an EU regulator. It has an EU VAT number, a euro account and accounts that banks understand.
Lithuania does not suit a company that exists only on paper: without a manager, contracts and costs in the country the bank will not open an account and the tax office will not accept the reliefs. Owners from countries subject to Lithuanian and EU restrictions first need a check on whether the company will get an account.
Which company to open in Lithuania
For most purposes a private limited liability company (UAB) fits. The minimum share capital is about $1,200. Shareholders are liable for the company's debts only up to their contribution. The company needs a manager, a registered address in Lithuania and its beneficial owners recorded in the state information system.
For large projects raising money publicly there is the public limited company (AB), with higher capital and stricter rules. We choose the form after reviewing the business: turnover, payment countries and hiring plans.
Requirements and documents
A private limited liability company needs only one shareholder and one manager. The shareholder can be a foreigner or a foreign company; the manager must be an individual. Bookkeeping is done by an in-house accountant or an accounting firm.
- passports and proof of address for shareholders, the manager and beneficial owners;
- source of funds documents: business accounts, a sale agreement, statements;
- the articles and the act of establishment, or a founding agreement if there are several founders;
- the property owner's consent to register the legal address;
- for a corporate shareholder, a register extract and articles with an apostille and a Lithuanian translation;
- an electronic signature accepted by the Centre of Registers, or a notarised power of attorney to us.
How much company registration in Lithuania costs
The total has three parts:
- Share capital from $1,200. It is not an expense: the money stays in the company's account for the business.
- State fees are small: the Centre of Registers charges about $65 to register the company and about $25 to reserve the name. If a notary certifies the documents, that work is paid separately.
- Our work: packages from $5,715; the package with bank pre-approval at about $6,947; annual legal maintenance with address and representative at about $2,465. Every item is listed in the table below.
Our prices are converted to dollars at the European Central Bank rate of 5 October 2026 and state payments at the Central Bank of Russia rate of 7 October 2026, rounded up.
Capital from $1,200 stays with the company, but an account without preparation is expensive
The law does not forbid registering a company in Lithuania on your own, and registration is online. But mistakes cost more than the fees: a manager who cannot sign documents electronically, capital paid into the wrong account, a bank that refuses because of an incomplete business description, reports to the Register Centre and tax office filed late. We prepare the documents, register the company, help open the account and keep the books and reports.

Company taxes in Lithuania in 2026

A small company is one with income of up to $340,000 per tax period whose shareholders are individuals only, not other companies; the former limit of 10 employees has been abolished. A new small company pays 0% for its first two tax periods and 7% after that. The zero rate is a strong argument for a new business, but we check the ownership and activity conditions before registration so the relief is not lost.
The VAT rate is 21%. Registration is required once turnover over 12 months exceeds about $51,000. Dividends received by an individual are subject to 15% withholding.
How registration works
- Reviewing the business. We choose the form, activities, ownership and the company's tax residence.
- Checks and documents. We check the owners and source of funds and prepare the articles, the founding decision and the manager's consent.
- Name and address. We reserve the name and arrange a registered address in Lithuania.
- Capital. We open an accumulation account and pay in share capital from $1,200.
- Registration. We file with the Centre of Registers and record the beneficial owners.
- Tax and bank. We register the company with the tax authority, for VAT if needed, and support the account opening.
Timelines: the name is reserved within one working day, and the Centre of Registers registers the company within three working days of a complete filing. Owner checks and the bank account take longest, from several weeks.
Why Lithuanian companies run into refusals
- The bank will not open an account. Lithuanian banks and payment institutions closely check owners from outside the EU, links to sanctioned countries and unclear flows. Without an account the company cannot operate, so we prepare the bank file in advance.
- No real presence. Banks and the tax authority treat companies with no manager, contracts or staff in Lithuania as shells.
- Errors in beneficial owner data. Incomplete or inconsistent owner information delays registration and checks.
- The tax relief does not apply if the company does not meet the small company conditions.
Restrictions for certain nationalities
Lithuania's law on restrictive measures is in force until 31 December 2027. Under it, visa applications from citizens of Russia and Belarus are suspended with limited exceptions, and Russian citizens are not granted residence permits unless they hold a valid visa or residence permit of an EU country. Russian citizens without a Lithuanian residence permit cannot buy real estate in Lithuania.
The law does not prohibit being a shareholder of a Lithuanian company. But under EU sanctions banks may not accept deposits above about $120,000 from citizens and residents of Russia and Belarus who have no citizenship or residence permit of an EU country, and Lithuanian banks generally turn such owners down. For owners from these countries we therefore first check whether an account will be opened and only then register the company. Citizens of other countries register a company on general terms.
