Luxembourg is an EU financial centre with the euro, a network of tax treaties and banks used to international clients. Companies are most often formed as a SARL or its simplified form for a single entrepreneur. Which company to form
- SARL. Share capital of EUR 12,000, about $13,445. A notary executes the founding documents.
- SARL-S. Capital from EUR 1 to EUR 12,000, paid in full at formation; only an individual can form one.

Company taxes
- Corporate income tax is 16% from 2025, or 14% for small companies with taxable income up to EUR 175,000.
- Municipal business tax is 6% to 12% depending on the commune.
- Beneficial owners are recorded in the register of beneficial owners.

Buying a ready company in Luxembourg
Instead of a new registration you can buy an existing company. This saves formation time but requires checks: debts, tax liabilities, filings and business history. The share transfer is documented and reflected in the register, and the new beneficial owners are filed with the register of beneficial owners. The bank checks the new owner just as for a new company, so a ready company does not speed up the account.
How formation works
- Form and capital. We choose the form and pay the capital into an account.
- Notary. A notary executes the SARL's founding deed.
- Registers. The company is entered in the trade register and owners in the beneficial owners register.
- Tax and licence. We register for tax and obtain a business licence if needed.
- Account. We open the company's operating account.
Where difficulties arise
- the bank will not open the capital account without a verified source of funds;
- a ready company turns out to have debts or unfiled reports;
- there is no real management in Luxembourg, and another country's tax authority treats the company as its own.

A Luxembourg company starts with a notary, and without an office and people the bank will not take it
The law does not forbid registering a limited liability company in Luxembourg on your own. But mistakes cost more than the fees: articles the notary sends back for rework, owner details not entered in the beneficial owners register, a company without real presence that the bank refuses, taxes calculated without the minimum tax.
