Company registration in Indonesia in 2026

Indonesia is the largest economy in Southeast Asia and a market of 280 million people. Foreigners need a company here to sell locally, manufacture, run tourism on Bali or obtain residence for a director. Registration goes through a notary, the Ministry of Law and the OSS single online licensing system, and the main cost question is not fees but capital requirements.
Under Ministry of Investment rules a company with foreign shareholders counts as a large business: the investment plan starts at IDR 10 billion, about $560,000, and paid-up share capital at IDR 2.5 billion, about $140,000. Dollar amounts use the Bank Indonesia rate of 2 October 2026, IDR 17,898 per dollar, rounded up.
Which company to set up in Indonesia
- Foreign-owned limited company (PT PMA) - a limited liability company with at least one foreign shareholder. Foreigners can own it fully except in closed and restricted sectors under the investment list. At least two shareholders are required, individuals or companies.
- Local company (PT PMDN) - only for Indonesian citizens and companies, not open to foreign shareholders.
- Representative office of a foreign company - for marketing and liaison; it cannot sell or earn income in Indonesia.
For a business earning income in the country a PT PMA almost always fits. Before registration we check the business code (KBLI): it decides whether the sector is open, the risk level and the licences needed.

Low and medium-low risk businesses can start operating once the licence is issued. High-risk businesses can operate only after all investment and licensing commitments are verified.

The main sum is capital of about $140,000, not the fees
The law does not stop you from registering a company on your own. But mistakes cost more than the fees: an activity code closed to foreigners, an investment plan below the threshold of about $560,000 that the online system will reject, documents without an apostille and Indonesian translation, a high-risk licence without the conditions checked, missed investment realisation reports that risk suspension of the licence. What taxes a company pays in Indonesia
- Corporate income tax - 22% since 2022.
- Dividends to a foreign shareholder - 20% withholding, or less under a tax treaty.
- VAT - 12% from 1 January 2025; restaurants, some services, money and securities are outside VAT.
- Land and building tax - 0.5% of the taxable value, which is 20% to 100% of the assessed value.
- Stamp duty - IDR 10,000 per document.
The annual corporate tax return is filed and the balance paid by the end of the fourth month after the year end; a written notice can extend this by up to two months. Large projects can get tax holidays: a new investment plan from IDR 100 billion in sectors on the pioneer list.
Director, visa and working in Indonesia
Foreigners can be directors and commissioners of a PT PMA. To live and work in Indonesia, a director needs a foreign manpower plan, a work permit and a limited stay permit, all sponsored by the company. For many owners the company is also the route to legal residence, for example on Bali.
Why registration gets delayed
