Company registration in Ireland in 2026

Ireland is an English-speaking EU and euro area country with 12.5% corporation tax on trading income. It hosts the European offices of major technology and pharmaceutical companies, and for smaller businesses it is a clear entry into the EU market with common law, English and a fast online register.

Companies are registered by the Companies Registration Office (CRO), and taxes are administered by the Revenue Commissioners. Dollar amounts below use the European Central Bank rate of 5 October 2026, $1.1204 per euro, rounded up.

Which company to set up in Ireland

  • Private company limited by shares (LTD) - the main business form under the Companies Act 2014. It can have one director, but then the company secretary must be a different person.
  • Designated activity company (DAC) - for activities under a restricted constitution; at least two directors are required.
  • External company (branch) - registration of an existing foreign company to operate in Ireland.

Every company has a registered office in Ireland, a director, a secretary and beneficial ownership details filed with a separate register after incorporation.

EEA-resident director

At least one director of a new company must be resident in the European Economic Area: the EU, Iceland, Liechtenstein or Norway. The United Kingdom has not counted since 2021. Without such a director the company provides a bond from a bank or insurer of €25,000, about $28,100, valid for at least two years. A third option is Revenue confirmation that the company has a real and continuous link with economic activity in Ireland.

What taxes a company pays in Ireland

  • Corporation tax - 12.5% on trading income and 25% on non-trading income such as interest, rent and foreign income.
  • Groups with revenue of €750 million or more pay a 15% minimum tax.
  • VAT - 23% standard rate.
  • Dividends - 25% withholding, with many exemptions for shareholders in the EU and treaty countries.

The 12.5% rate applies to genuine trading. If there are no people and decisions in Ireland, Revenue may treat the income as non-trading, so we design the structure before registration.
