How a foreigner can open a company in Israel

A foreigner can open an Israeli company without citizenship or residence. We cover registration, taxes, reporting and the bank account.

Who needs an Israeli company

An Israeli company suits those working with local clients and investors, hiring staff in the country, building a technology business near Israeli funds or receiving government research grants. The owner and director can be a foreigner: Israeli citizenship and residence are not required. The most common form is a private limited company, where a shareholder is liable only up to their contribution.

How registration works

The companies register is kept by the Israel Corporations Authority at the Ministry of Justice. The application is filed on the registrar's website and signed by an Israeli lawyer or, with an electronic signature, by a sole shareholder and director. For a foreigner, filing through a lawyer is usually easier because signatures and articles are certified and foreign documents translated.

  1. Name. We check available names in the register.
  2. Articles and participants. We prepare articles and details of shareholders, directors and shares.
  3. Filing and fee. The registrar reviews the documents and issues a certificate with the company number.
  4. Tax registration. The company registers with the Israel Tax Authority, for VAT and, if it hires, with National Insurance.

Which taxes a company pays

  • Corporate income tax - 23% in 2026.
  • VAT - 18% since 1 January 2025.
  • Dividend tax - 25%, or 30% for a substantial shareholder holding 10% or more. A foreign shareholder may pay less under a double tax treaty after obtaining a reduced-rate certificate from the Israel Tax Authority.

Technology companies may use preferential regimes with lower corporate tax, but their conditions are strict, and we assess fit against the business plan.

Reporting and annual payments

The company keeps books, files an annual report with the registrar and a tax return with audited financial statements. From the year after registration it pays an annual registrar fee, lower if paid early. Unpaid fees build up penalties, and the registrar may mark the company as a violating company, blocking changes to the register.
