Company registration in Finland in 2026

A limited liability company with no minimum capital, online registration with the Trade Register, 20% tax. We handle documents, board and registration turnkey.

Finland is an EU and euro area member with transparent rules, low corruption and an almost fully digital state. A company here suits the Nordic and EU markets, IT and gaming, manufacturing, and is the basis for an entrepreneur's residence permit.

Companies are registered by the Finnish Patent and Registration Office (PRH) through an online system shared with the Tax Administration: one filing enters the company in the Trade Register and the tax registers. Dollar amounts below use the European Central Bank rate of 5 October 2026, $1.1204 per euro, rounded up.

Which company to set up in Finland

  • Private limited liability company (osakeyhtiö) - the main form. There has been no minimum capital since 2019, and shareholders can be foreigners and foreign companies.
  • Public limited liability company - capital from €80,000, about $89,700, for listing and raising capital from a wide range of investors.
  • Branch of a foreign company - for an existing company to operate in Finland, with a resident representative.
  • Private trader - for a person living in Finland who works alone.

Board and EEA residence

A private company's board can be one person, but then a deputy member is required. At least one board member and the deputy must live in the European Economic Area, as must the managing director if appointed. If no board member lives in the EEA, each needs a permit from PRH, which is a separate application and takes time.

For owners from outside the EU this is the key issue, and we settle it in advance: we provide an EEA board member or prepare the permit application.

For online filing signatories need Finnish electronic identification. Without it, paper forms are filed or a representative acts under a power of attorney.

Online registration about $337, but the board needs an EEA resident

The law does not stop you registering a company on your own. But mistakes cost more than the fees: a board without a member living in the European Economic Area or without the registry's exemption, a missed entry in the tax registers without which the company cannot invoice clients, and beneficial owner details the registry sends back for correction. What taxes a company pays in Finland

  • Corporate income tax - 20%, paid in advance instalments during the year via the prepayment register.
  • VAT - 25.5% since 1 September 2024, with reduced rates for food, medicines, books and some services. Registration is mandatory above €20,000, about $22,500, of annual turnover.
  • Dividends to foreign shareholders are subject to withholding at the statutory rate or lower under a tax treaty.
  • Salaries - the employer withholds tax per the employee's tax card and pays pension, unemployment and insurance contributions.

Tax and VAT returns are filed in the Tax Administration's online service, and annual accounts with the Trade Register. An accountant is needed from the first month.

Company and entrepreneur's residence permit

To live in Finland and run your company, a foreigner needs an entrepreneur's residence permit: the Finnish Immigration Service checks that the company is registered and the business provides sufficient income. Start-ups have a separate permit after a positive statement from the state innovation agency. We prepare the company and business plan so the residence application goes through without follow-up requests.

  • No board member lives in the EEA and the permit was not requested in advance.
  • Signatories have no Finnish electronic ID and the paper forms contain errors.
  • The name resembles an existing one.

How much does company registration in Finland cost?
From 2026 the Trade Register fee is €300 for the guided online process and €400 for a standard notification, about $340-450. There is no minimum capital for a private company. Turnkey packages are in the price table on this page.
