Company formation in Denmark

Companies in Denmark are registered by the Danish Business Authority through the government business portal. The most common form is the private limited company (ApS). Its minimum capital has been halved from DKK 40,000 to DKK 20,000, about $3,010 at the rate of 5 October 2026, rounded up (DKK 1 = $0.1502), according to the Danish Business Authority.
Registration costs: government fee
The registration fee for a private limited company is DKK 670, about $105; it is paid on the portal at registration and cannot be paid in cash, under the Authority's fee schedule. Capital is paid in cash or in kind before registration. Our services are in the fee table below.
The fee is about $105, but without a Danish digital ID registration stalls
The law does not stop you from registering a company in Denmark on your own. But mistakes cost more than the fee: filing through the portal without a Danish digital ID for a foreign founder, capital not paid in before registration, beneficial owner data not updated in the business register, VAT registration made after the threshold. How registration works

What documents you need
A passport and proof of address for each founder and director, beneficial ownership details, the articles, proof that the capital was paid in, and a business description for the bank. Filing on the portal requires a Danish electronic ID, so foreigners often file through a representative.
Tax
Danish companies pay 22% corporation tax on taxable income; the rate has not changed since 2016, according to the Danish Tax Agency. Tax can be paid on account in up to three instalments a year. VAT and employer contributions are calculated separately if the company trades or hires staff.
After registration: value added tax, reporting and audit
- Registering for value added tax is mandatory once turnover exceeds DKK 50,000 over 12 months, about $7,500. The rate is 25%.
- A private company files its annual report electronically with the Danish Business Authority, usually within 6 months of financial year end.
- A small company can opt out of audit if for two consecutive years it does not exceed two of three thresholds: a balance sheet of DKK 4 million, revenue of DKK 8 million, an average of 12 employees.
- Owners of 25% or more and other beneficial owners are entered in the Danish business register and updated on change.
- The law does not require the director to live in Denmark, but the portals need a Danish electronic ID, so foreigners often act through a representative.
The dollar amount is converted at the European Central Bank rate of 5 October 2026, about 6.67 kroner per dollar, and rounded up.
The company account in Denmark
Every company registered in Denmark must designate a public payment account to which the state sends payments, such as tax refunds. The bank opens the account after registration, having checked the beneficial owners and directors with a Danish electronic ID; capital is paid in before registration, and the bank confirms it for the registry.
