Company registration in Dominica in 2026

A private company under the Companies Act 1994 or an international business company under the 1996 Act: registration with the Companies and Intellectual Property Office.

Companies in Dominica are registered by the Companies and Intellectual Property Office. The Companies Act 1994 provides for private and public limited liability companies, and the 1996 Act for international business companies. The certificate of incorporation costs XCD 750, about $280; the annual fee depends on the share capital and starts at XCD 200, about $80.

Annual fee by capital

Share capital, XCDAnnual fee
up to 49,999200, ~$80
50,000-100,000500, ~$190
100,001-200,000700, ~$260
over 200,000plus 100 for every further 100,000

The rate is the official peg of XCD 2.70 to $1.

The certificate is about $280, and the annual fee grows with capital

The law does not stop you from registering a company in Dominica on your own. But mistakes cost more than the fees: capital declared higher than needed, which raises the annual fee, the wrong choice between a local and an international company, a missed annual return, founders' documents without legalisation, a bank that does not work with such companies. Murblz specialists choose the company type and capital, prepare the documents, register the company with the Companies Bureau and track the annual fees.

The cost of support depends on the company type, ownership structure and whether you need an account; a manager will calculate it in the chat.

How to register a company: the steps

  • Name check and reservation.
  • Memorandum and articles, details of directors and shareholders.
  • Filing with the Office and paying the certificate fee.
  • Tax registration if the company operates in Dominica.
  • Annual returns and the capital-based fee.

If the company is needed for Dominica citizenship by investment, we align its structure with the program's requirements before registration.

Why registration gets delayed

  • The name duplicates an existing one.
  • Incomplete director and beneficial owner details.
  • Foreigners' documents without an apostille.

Company taxes in Dominica

Corporate income tax in Dominica is 25%, and the standard VAT rate is 15%. Tax is administered by the Inland Revenue Division. The former tax exemption for international business companies was repealed by 2019 amendments: companies registered before the end of 2018 kept it until 31 December 2021, and now all companies are taxed under the general rules. So a Dominican company is chosen not for zero tax but for real activity on the island or as part of a citizenship by investment.

The choice depends on where clients and revenue will be. If the company needs a bank account, banks ask about real activity and beneficial owners as in other jurisdictions.

Founders' documents and the citizenship link

Founders and directors need passport copies, proof of address and information on the source of funds; foreigners' documents need an apostille. If the company is part of an investment under the citizenship programme, we align its structure and role with the programme's requirements before registration. See Dominica citizenship.
