Company formation in Bahrain

Companies in Bahrain are registered by the Ministry of Industry and Commerce through a single registration and licensing portal. The most common form for a foreign owner is the limited liability company. Under the ministry's procedures guide it has 2 to 50 partners, each liable only up to their share, there is no minimum capital, and the nominal value of a share is at least BD 50. Foreigners and GCC nationals may own 100% of the shares.

Who a Bahrain company suits

  • Trading and service companies working for the Gulf market: from Bahrain the King Fahd Causeway leads straight into Saudi Arabia.
  • Holding companies: ordinary companies pay no corporate income tax, and dividends, interest and royalties are paid with no withholding tax.

Registration costs: government fees

The portal application and the electronic certificate of registration cost about $75 at the rate of 5 October 2026, rounded up (BD 1 = $2.66), and take 1 working day. The law does not forbid registering a company in Bahrain on your own, and the certificate is issued online in 1 working day. But mistakes cost more than the fees: an activity that needs a separate government licence, the wrong company form, a missed annual renewal of the registration, staff and owner visas arranged without regard to the company's limits. How registration works

  1. Choosing the activity and the company form: this determines the licences and the requirements for partners.
  2. Reserving the name and drafting the articles.
  3. Filing on the registration portal and receiving the electronic certificate, usually in 1 working day.
  4. Licences from the relevant authorities, if the activity requires them.
  5. Opening a bank account and paying in capital, if the articles provide for it.

The whole route from choosing the activity to a working account usually takes 1-2 months, and the bank is the longest wait.

The route can be shortened at the preparation stage: if the owners' documents are legalised and translated in advance and the activity needs no separate licence, the company with its registration and account is ready much sooner. What documents you need

For each partner, a passport and proof of address; for a corporate partner, certified constitutional documents and a resolution to set up the subsidiary. Foreign documents are filed with translation and legalisation. For the bank you also prepare a business description, expected volumes and source of funds documents.

Tax

Bahrain has applied 10% VAT since 1 January 2022; registration is mandatory above BD 37,500 of supplies, about $100,000, according to the Bahrain government portal. There is no income tax for ordinary companies; large multinational groups pay a domestic minimum top-up tax.

Renewals, visas and staff

  • The commercial registration is renewed every year through the registration portal, and renewal can be filed up to 6 months before expiry. Without renewal the company cannot deal with banks and government bodies.
  • A shareholder can obtain an investor residence permit through the Labour Market Regulatory Authority, after which the company applies for staff work permits.
  • A 10-year golden residence with work rights and family reunification is available, among other routes, through buying property: the threshold has been lowered from BHD 200,000 to BHD 130,000, about $350,000.
  • The dinar has been pegged to the US dollar at 0.376 dinars per dollar since 1980, so there is almost no currency risk for dollar payments.

Who it does not suit and what to consider

A Bahrain company does not cut taxes by itself: if the owner lives in a country with controlled foreign company rules, the Bahrain company's profit may be taxed there. That is why we calculate the taxes in the owner's country before registration.

It also does not suit those who need an account within a week: the bank reviews the business plan, contracts and source of funds, and without real activity in the Gulf an account is hard to get. Voluntary VAT registration is possible from BHD 18,750 of turnover a year, about $50,000; it pays off if the company buys goods and services with VAT and wants to recover it.

Common reasons for refusal

  • The activity is closed to 100% foreign ownership. For some activities the ministry requires a stake held by citizens of Bahrain or the Gulf states, and an application with foreign shareholders is returned.
  • The business description does not match the payments. The bank checks the declared activity against contracts and expected turnover and refuses an account if they differ.
  • Documents without legalisation and translation. Foreign corporate documents and powers of attorney are not accepted without certification.
  • No proof of the source of funds. Without it the account will not be opened, and without an account the company gets no visas or work permits.

Restrictions for certain nationalities

Bahraini law does not distinguish foreign owners by nationality: a citizen of any country can set up a 100% foreign-owned company unless the activity requires a local partner. Bahrain has not imposed sanctions on Russia.

Restrictions arise on the side of banks. Bahraini banks settle in dollars through US correspondent banks and therefore take US and EU sanctions lists into account: clients connected with Russia, Belarus, Iran and a number of other countries are checked for longer and more often asked to prove the source of funds. People on sanctions lists will not get an account. We check whether we can work with you before preparing documents.
