Company registration in Bulgaria in 2026

A limited liability company with nominal capital, online registration in the Commercial Register at half the counter fee and 10% corporate tax.

On 1 January 2026 Bulgaria switched to the euro: Registry Agency fees and company capital are now stated in euro. The most common form is a limited liability company, including a single-member one; the minimum capital is nominal. Filing with the Commercial Register online costs half the counter fee: about €28 instead of about €56.

Corporate tax is 10%, dividend tax 5% and VAT 20%, one of the lowest corporate tax burdens in the EU.

Registry filing is about $40, but every bank checks a euro company

The law does not stop you from registering a company in Bulgaria on your own. But mistakes cost more than the fees: founding documents without notarisation and translation that the registry returns, an address without a contract, capital paid into the wrong account, and a bank that will not open an account for a company with an unclear structure. Taxes and VAT in 2026: what changed

The 5% dividend tax is kept for the whole of 2026. The draft budget that would have raised it to 10% was withdrawn after mass protests at the end of 2025, and the 2025 budget was extended into 2026. VAT registration is mandatory once turnover for the calendar year exceeds EUR 51,130, about $57,300; since 2026 turnover is counted over the calendar year rather than any 12 consecutive months. Capital, fees and reporting have been in euros since 1 January 2026.

Why registration gets delayed

  • The bank takes long to vet a foreign founder, so the capital is not paid in.
  • Foreigners' documents lack an apostille and a Bulgarian translation.
