Business accounts: Slovenia

A Slovenian company's account is opened with a Slovenian bank: a euro account in a eurozone bank with SEPA payments. Banks open it for a limited liability company (d.o.o.) entered in the Slovenian court register; foreign companies with no activity in the country are usually refused. A foreigner may own 100% of a Slovenian company.

How the company is registered

  1. Founders and director. Foreigners first obtain a Slovenian tax number, needed for the register entry.
  2. Documents. Founding act on the state form via a SPOT point, or at a notary for non-standard articles.
  3. Capital. At least EUR 7,500, about $8,500, is paid in.
  4. Court register entry. Usually about 4 business days after filing.
  5. After registration. Company tax number, beneficial owner details and VAT registration if needed.

Documents the bank asks for

  • Court register extract and incorporation documents.
  • Company tax number and beneficial ownership details.
  • Passports of the director and shareholders, proof of their addresses.
  • Business description: clients, suppliers, payment countries, expected turnover.
  • Proof of the source of share capital.

Foreign documents are apostilled and translated into Slovenian. The bank usually meets the director in person.

Why banks refuse

  • The company has no activity in Slovenia and cannot explain why it needs a Slovenian account.
  • Nominee director or a complex ownership chain without disclosed beneficial owners.
  • Shareholders or payments linked to countries under EU sanctions.
  • The origin of funds is not documented.

How the account opening works

  1. Bank choice for the business line, currencies and payment countries.
  2. Compliance file: documents, business description, proof of the source of capital.
  3. Bank meeting: the director attends in person with a passport and tax number.
  4. Bank decision: timing depends on the bank and ownership structure. If refused, we go to another bank and connect an EU-licensed payment institution in the meantime.

Protection of funds

Company and individual deposits are insured up to EUR 100,000, about $112,100, per depositor per bank, as across the EU.

Bank or payment institution

An account with an EU-licensed payment institution opens faster, and euro payments across Europe work the same way. But funds there are not covered by deposit insurance: they are protected by client fund safeguarding rules, not the EUR 100,000 guarantee. That is why the main account for taxes, salaries and large sums stays with a bank.
