Business accounts: Croatia

Croatia is an EU country that adopted the euro on 1 January 2023. Banks are supervised by the Croatian National Bank and European banking supervision. A business account at a Croatian bank is opened for a Croatian company: capital is paid into it before registration, client payments arrive there and taxes are paid from it. For foreign founders and directors the first step is a personal tax number (OIB), without which neither registration nor the bank can proceed.

A Croatian company and the account

  • A limited liability company (d.o.o.) needs minimum capital of EUR 2,500, about $2,801. At least EUR 625, about $701, is paid in before registration with the commercial court.
  • A simplified company (j.d.o.o.) has symbolic minimum capital, but part of the profit must go into a reserve.

Capital is paid into a Croatian bank account before registration, so the bank is involved from the start.

Company taxes

  • Corporate income tax is 10% for annual revenue up to EUR 1,000,000, about $1,120,400, and 18% above.
  • VAT, contributions and taxes on distributions are calculated separately.

Timing and payments

The capital account is opened before registration, then the commercial court registers the company and the bank converts the account to an operating one. Payments within Croatia and with EU clients are in euros, so a separate currency account is usually unnecessary, and euro transfers within the EU follow common European rules.

Opening without permanent presence

The founder need not live in Croatia: registration documents are signed before a notary in Croatia or abroad with an apostille, and the company is represented at the bank by a director or an attorney. The bank still checks the beneficial owners and the company's activity, so the business description and client contracts are prepared before the visit.

Why applications are refused

  • founders or directors have no tax numbers;
  • an unclear origin of capital;
  • the company has no activity in Croatia;
  • links to sanctioned countries.

Reporting after opening

After the account is opened a Croatian company keeps books and files annual financial statements and tax returns, while the bank periodically updates owner and activity information. Changes of ownership must be reported to the bank and the register.
