Seychelles international business companies used to file almost nothing. The 2021 amendments changed that: companies, foundations, partnerships and trusts must keep accounting records and hold them with their registered agent in Seychelles. The requirements came in under international transparency standards, and today an agent will not renew services for a company without accounts, and a bank will close its account.

Documents needed for bookkeeping
For bookkeeping we need statements for all company accounts, including payment institutions, invoices to clients and from suppliers, contracts, documents on loans, dividends and capital contributions, and directors' and shareholders' resolutions. It is easiest to send them every six months, in step with delivering records to the agent: then the annual summary is ready well before the six-month deadline.
If the company is dormant
A dormant company must also keep accounts and prepare a financial summary: it will simply be nil. Missing deadlines leads to penalties, the agent refusing to serve the company and eventually striking off. Restoring a struck-off company costs more than filing nil accounts on time.
Taxes and economic substance
A Seychelles company's foreign income is not taxed. But if the company earns passive foreign income, such as dividends, interest or rental income, the exemption applies only with economic substance in Seychelles. The accounts must show what income was received and from where, so we review the income structure when preparing the filings.
If the company needs to be closed
Before closure the accounts and annual fees must be in order, otherwise the agent will not file the liquidation documents. A company can be closed by voluntary liquidation or by striking off on application. After closure the records continue to be kept by the agent for the statutory period, so they must be delivered before filing.
Is an audit needed
An ordinary international business company does not need an audit. It is required for licensed companies, for example in the financial sector, and when a bank, investor or the owner's tax authority asks for audited accounts. We bring in an auditor when required.
Accounts for your tax authority and bank
The owner often needs a Seychelles company's accounts at home: for a controlled foreign company notification, to support a profit exemption, or for a bank in another country. Seychelles is party to the Apostille Convention, so the accounts are apostilled and accepted without consular legalisation.
